COMPANY SECRETARIAL

Our service includes:-

• Formation of new companies
• Provision of company secretary (and director if required)
• Establishment of electronic database for each company using specialised software
• Maintenance of the company’s statutory registers
• Arranging changes to a company’s memorandum and articles of association
• Arranging increases to a company’s authorised and issued share capital
• Providing notices of meetings and proposed resolutions to the company’s members and auditors as required
• Drafting and maintaining minutes of directors' meetings and general meetings
• Filing of annual returns, accounts, resolutions and statutory forms with Companies House
• Provision of registered office (optional)

We also incorporate Limited Liability Partnerships and handle annual filings

PAYE AND PAYROLL

Our service includes:-

• Arranging for a PAYE scheme to be set up by the Revenue
• Calculation and notification of monthly income tax and social security contributions due for each employee
• Provision of payslips
• Completion of statutory forms, including year end returns, for submission to the Revenue or issue to employees as appropriate
• Electronic submission of end of year returns to the Revenue entitling smaller employers to the following tax-free cash incentive payments:
  
  - file online for 2004-05 (return due by 19 May 2005) and get £250
  - file online for 2005-06 (return due by 19 May 2006) and get £250
  - file online for 2006-07 (return due by 19 May 2007) and get £150
  - file online for 2007-08 (return due by 19 May 2008) and get £100
  - file online for 2008-09 (return due by 19 May 2009) and get £ 75
  

ACCOUNTING

We can arrange for the provision of accounts for sole traders and small companies entitled to audit exemption.
